Terms & Conditions

Governing your use of NOYAXI's cooperative ride-sharing services

1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "you") and NOYAXI Cooperative Limited, a company incorporated in England and Wales (Company Number: [To be inserted]) with its registered office at 31 St. Georges Walk, Croydon, England CR0 1YL ("NOYAXI", "we", "us", or "our").

These Terms govern your access to and use of NOYAXI's cooperative ride-sharing platform, website, mobile application, and related services (collectively, the "Services"). By accessing, downloading, installing, or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Notice.

Important Notice: If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services constitutes acceptance of any amendments to these Terms.

2. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

  • "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession
  • "Cooperative Member" means a registered driver who is a member of the NOYAXI cooperative
  • "Journey" means transportation services provided by a Cooperative Member via the Platform
  • "Platform" means NOYAXI's digital platform accessible via website and mobile application
  • "Services" means the ride-sharing platform services provided by NOYAXI
  • "User Account" means your registered account on the Platform

3. Nature of Services and Platform

NOYAXI operates as a cooperative platform that connects passengers with independent Cooperative Members who provide transportation services. We facilitate bookings and payments but do not provide transportation services directly.

3.1 Platform Services

Our Platform enables you to:

  • Request transportation services from Cooperative Members
  • Receive fare estimates and journey information
  • Make secure payments for transportation services
  • Rate and review your journey experience
  • Access customer support services

3.2 Cooperative Structure

NOYAXI operates as a cooperative where drivers are independent members, not employees. Each Cooperative Member:

  • Operates their own vehicle and holds appropriate licences and insurance
  • Sets their availability and accepts journey requests at their discretion
  • Is responsible for the safe provision of transportation services
  • Participates in cooperative governance and profit-sharing arrangements
Important: NOYAXI acts as an intermediary platform. The transportation contract is formed directly between you and the Cooperative Member providing the journey.

4. User Eligibility and Account Registration

4.1 Eligibility Requirements

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Comply with all applicable laws and regulations

4.2 Account Responsibilities

You are solely responsible for:

  • All activities that occur under your User Account
  • Maintaining the accuracy of your account information
  • Immediately notifying us of any unauthorised use of your account
  • Ensuring your payment methods are valid and have sufficient funds

5. Booking and Use of Transportation Services

5.1 Booking Process

When booking transportation services through our Platform, you agree to:

  • Provide accurate pick-up and destination information
  • Specify any special requirements (e.g., wheelchair accessibility, child seats)
  • Be present at the designated pick-up location at the agreed time
  • Provide accurate contact details for journey coordination

5.2 User Conduct

During your use of the Services and any Journey, you must:

  • Treat Cooperative Members, their vehicles, and other passengers with respect
  • Comply with all applicable laws, including road traffic regulations
  • Follow reasonable instructions from the Cooperative Member
  • Not engage in threatening, abusive, or discriminatory behaviour
  • Not consume alcohol or illegal substances during the Journey
  • Not damage or soil the vehicle
  • Wear seatbelts where required by law

5.3 Prohibited Activities

You must not:

  • Use the Services for any illegal purpose or activity
  • Transport illegal goods, weapons, or hazardous materials
  • Attempt to contact Cooperative Members outside the Platform
  • Create multiple accounts to circumvent restrictions or penalties
  • Interfere with the operation of the Platform or other users' access
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to access the Platform without authorisation

6. Pricing, Payment, and Fees

6.1 Fare Calculation

Journey fares are calculated based on:

  • Distance travelled and estimated journey time
  • Vehicle type and service level selected
  • Time of day and demand levels (dynamic pricing may apply)
  • Additional services requested (e.g., waiting time, stops)

Fare estimates are provided before booking confirmation. The final fare may vary due to route changes, traffic conditions, or additional services requested during the Journey.

6.2 Payment Terms

Payment for Services is processed automatically using your selected payment method. You authorise us to charge your payment method for:

  • The Journey fare as calculated by our system
  • Applicable taxes, fees, and surcharges
  • Additional charges for waiting time, route changes, or cleaning fees
  • Cancellation fees where applicable under our Cancellation Policy

6.3 Pricing Transparency

In accordance with UK consumer protection laws, we ensure:

  • All prices are clearly displayed before booking confirmation
  • Additional fees and charges are disclosed upfront
  • Dynamic pricing periods are clearly indicated
  • No hidden charges are applied to your Journey
Consumer Rights: As a Consumer, you have statutory rights under UK law that cannot be excluded or limited by these Terms, including rights under the Consumer Rights Act 2015.

7. Limitation of Liability and Disclaimers

7.1 Platform Liability

NOYAXI's liability is limited as follows, subject to UK consumer protection laws:

We are not liable for:

  • Acts, omissions, or negligence of Cooperative Members during Journeys
  • Delays caused by traffic, weather, or circumstances beyond our control
  • Loss or damage to personal belongings during Journeys
  • Temporary unavailability of the Platform due to maintenance or technical issues
  • Indirect, consequential, or special damages arising from use of our Services

7.2 Consumer Rights Protection

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of statutory rights that cannot be excluded under UK law
  • Any other liability that cannot be excluded or limited under applicable law

7.3 Maximum Liability

Where we are liable to you, our total liability for any claim shall not exceed the greater of:

  • £100 (one hundred pounds sterling); or
  • The total amount paid by you for the specific Service giving rise to the claim
Important: These limitations apply only to the extent permitted by UK law. Your statutory consumer rights remain unaffected.

8. Insurance and Safety

8.1 Cooperative Member Insurance

All Cooperative Members are required to maintain:

  • Valid motor insurance covering hire and reward activities
  • Public liability insurance as required by local licensing authorities
  • Professional indemnity insurance where applicable

8.2 Platform Insurance

NOYAXI maintains appropriate professional indemnity and public liability insurance for our platform operations. Details of our insurance coverage are available upon request.

8.3 Safety Measures

We implement various safety measures including:

  • Background checks on all Cooperative Members
  • Vehicle safety and roadworthiness requirements
  • Real-time journey tracking and monitoring
  • 24/7 customer support and emergency assistance
  • User rating and feedback systems

9. Intellectual Property Rights

9.1 Our Intellectual Property

All intellectual property rights in the Platform, including but not limited to:

  • Software, applications, and algorithms
  • Trademarks, logos, and brand names
  • Content, text, graphics, and user interfaces
  • Data compilation and database rights

are owned by or licensed to NOYAXI. You may not use, copy, modify, or distribute our intellectual property without our prior written consent.

9.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform solely for booking transportation services in accordance with these Terms.

9.3 User Content

By submitting reviews, ratings, or other content to the Platform, you grant us a worldwide, royalty-free licence to use, display, and distribute such content for the operation and improvement of our Services.

10. Data Protection and Privacy

Your privacy and the protection of your personal data are of paramount importance to us. Our collection, use, and protection of your personal data are governed by our Privacy Notice, which forms an integral part of these Terms.

By using our Services, you acknowledge that you have read and understood our Privacy Notice, which explains:

  • What personal data we collect and how we use it
  • Your rights under UK data protection legislation
  • How we protect and secure your personal data
  • How to contact us regarding data protection matters

We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11. Account Suspension and Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Contacting our customer support team
  • Following the account closure process in the Platform
  • Sending written notice to our registered address

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Breach any provision of these Terms
  • Engage in fraudulent, illegal, or harmful activities
  • Repeatedly violate our community guidelines
  • Fail to pay outstanding amounts owed to us
  • Provide false or misleading information

11.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Services ceases immediately
  • Outstanding payment obligations remain in effect
  • We may retain certain data as required by law or legitimate business interests
  • Provisions of these Terms that should survive termination will continue to apply
Fair Treatment: We will provide reasonable notice of termination except where immediate termination is necessary for safety, security, or legal reasons.

12. Dispute Resolution and Complaints

12.1 Internal Complaints Procedure

If you have a complaint about our Services, please contact us first using the details provided in Section 15. We will:

  • Acknowledge your complaint within 2 business days
  • Investigate your complaint thoroughly and fairly
  • Provide a substantive response within 14 business days
  • Offer appropriate remedies where we have fallen short

12.2 Alternative Dispute Resolution

If you are not satisfied with our response to your complaint, you may refer the matter to:

  • The relevant ombudsman service for your type of complaint
  • Citizens Advice for consumer guidance
  • Trading Standards for consumer protection matters

12.3 Legal Proceedings

Any legal disputes arising from these Terms or your use of our Services will be subject to the exclusive jurisdiction of the courts of England and Wales. However, if you are a Consumer resident in Scotland or Northern Ireland, you may bring proceedings in the courts of your home country.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather conditions
  • War, terrorism, civil unrest, or government actions
  • Strikes, labour disputes, or industrial action
  • Failure of telecommunications, internet, or power systems
  • Pandemic, epidemic, or public health emergencies

During such events, we will use reasonable efforts to minimise disruption to our Services and will resume normal operations as soon as reasonably practicable.

14. Amendments to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will:

  • Provide at least 30 days' advance notice of significant changes
  • Notify you via email, in-app notification, or prominent website notice
  • Clearly explain the nature and effect of the changes
  • Provide you with the opportunity to review the updated Terms

If you do not agree to the updated Terms, you may terminate your account before the changes take effect. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.

Consumer Rights: Material changes that adversely affect your rights will not apply to existing bookings made before the change takes effect.

15. Governing Law and Jurisdiction

These Terms and any disputes arising from or relating to your use of our Services are governed by the laws of England and Wales.

Any legal proceedings relating to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, except that:

  • If you are a Consumer resident in Scotland, you may bring proceedings in Scottish courts
  • If you are a Consumer resident in Northern Ireland, you may bring proceedings in Northern Ireland courts
  • We may bring proceedings against you in the courts of your country of residence

Nothing in this clause affects your statutory rights as a Consumer under applicable consumer protection legislation.
